Bayard handles a wide variety of business-related matters for clients ranging from small businesses to large national and multi-national corporations. Our attorneys have varying and complementary areas of expertise, including business transactions, alternative entity law and taxation and the regulation of Delaware domiciled or licensed insurance companies. Depending upon the issues involved, our transactional attorneys may draw upon the talents or expertise of attorneys in other areas of practice to advise on specialized aspects of a particular matter. A number of our attorneys serve as outside general counsel for corporate clients, advising these corporations on a vast array of business issues as well as corporate governance matters.

Bayard has significant experience advising clients in connection with the formation and operation of the various Delaware business entity forms, including corporations, limited liability companies, general and limited partnerships and statutory trusts. Accordingly, they are familiar with the flexibility and other advantages that make Delaware business organizations the favored choice in a variety of situations. The firm advises clients regarding purchase/sale of businesses and assets, asset based financing and securitizations, and holding companies. Bayard represents corporate trustees and other service providers in capital markets transactions, including structured finance and securitization, frequently through the use of Delaware statutory trusts and LLCs formed for institutional investors. Bayard also represents borrowers, lenders, guarantors, managers, agents and other parties in a variety of commercial transactions. In addition, our attorneys are familiar with the issues dictating the use of bankruptcy-remote “special purpose” entities in structured finance and securitization transactions, conduit loan and other credit and insurance-related transactions. In connection with a variety of business transaction, Bayard attorneys provide third party legal opinions with regard to matters of Delaware law, including but not limited to issues arising corporate law, alternative entity law, Uniform Commercial Code matters and other applicable laws.

Bayard attorneys have a long history of advising insurance companies regarding their regulation by the Insurance Commissioner of Delaware and changes in their ownership or control. Former Bayard attorneys have held or hold posts within the Delaware Department of Insurance.
