Dick Kirk Serves as Panelist in Seminar Sponsored by Delaware State Bar Association

On May 23, 2017, Dick Kirk joined a distinguished panel of speakers to present a seminar sponsored by the Delaware State Bar Association entitled “Money Stuffed Under the Mattress: A Discussion With the Principals of Sealy Mattress v. Sealy, Inc. on its 30th Anniversary.”  The Sealy case is an oft-cited Chancery Court decision on the duty owed by majority shareholders to minority shareholders in a force-out merger.  Dick had represented the corporate defendant, Sealy, 30 years ago. Other panelists included Delaware Supreme Court Justice Jack B. Jacobs (ret.), who decided the case as Vice Chancellor, Delaware  Law School Professor Paul Regan, who had represented the victorious minority shareholders while at Skadden Arps, and Stetson University Law Professor (emeritus) Clark W. Furlow, who had represented the Sealy directors and majority shareholders while at Lassen, Smith, Katzenstein & Furlow.
