On December 18, 2012, Bayard director Marla H. Norton is presenting at the National Business Institute’s “Business Contracts A to Z” seminar. Marla is presenting twice. In her morning presentation, she will address best practice for drafting business contracts. Specifically, Marla will discuss terms and conditions; representations, warranties and indemnification; dispute resolution provisions; boilerplate provisions; drafting shareholder and operating agreements; and, drafting purchase and sale agreements. In the afternoon, Marla will discuss contract ethics with an emphasis on the DSBA’s rules of professional conduct, confidentiality information of a client, scope of representation and conflicts of interest.
Additionally, seminar attendees will learn about key contract terminology; master, subsequent and operating agreements; intellectual property protection; negotiation strategies; breach of contract; and, bankruptcy. The seminar is geared toward basic to intermediate level attorneys and paralegals.
