Overview

Bayard attorneys provide client and third party legal opinions in a variety of business transactions addressing matters of Delaware law, including but not limited to issues of corporate law, alternative entity law, Uniform Commercial Code and other applicable laws.

Bayard provides third party closing opinions and reasoned legal opinions in a variety of transactional contexts to aid clients in accomplishing their goals. Bayard lawyers have deep experience providing legal opinions addressing a comprehensive variety of business-related issues, both ancillary to Bayard’s Corporate and Alternative Entities Transactions or Commercial Transactions practices and as special Delaware counsel to supplement opinions being given by non-Delaware counsel in a transaction in which Bayard is not otherwise involved.

Bayard lawyers also provide written opinions and memoranda to clients on discrete questions of Delaware law interpreting specific statutes or addressing the application of a given statutory scheme to specified facts, often under the Delaware General Corporation Law, the Delaware Limited Liability Company Act, the Delaware Revised Uniform Partnership Act, the Delaware Revised Uniform Partnership Act, the Delaware Statutory Trust Act, and the Delaware Uniform Commercial Code.   

Bayard’s legal opinion team also provides third party closing opinions in connection with a myriad of corporate and commercial transactions, where required by lenders, rating agencies, or transaction counterparties as a condition to closing business transactions including traditional real estate or asset based loans and other banking transactions, CBMS loans and other securitized loans, structured finance transactions, mergers and acquisitions, domestication transactions, and other corporate and commercial matters, both domestic and international.

  • Corporate clients may request a written legal opinion as to their rights under a contract, or some other matter as to which they wish to establish their reliance upon the advice of counsel as their basis for action or inaction.
  • In international loan transactions, the foreign lender may retain counsel to provide certain legal opinions relative to the borrower, either as an alternative to receiving a third party legal opinion from the borrower’s counsel or sometimes in addition to a third party legal opinion.
